These Terms & Conditions ("Agreement") constitute a legally binding contract between Alkali Solutions Inc. ("Alkali Solutions," "we," "us"), a business operating in Ottawa, Ontario, Canada, and the individual or entity ("Client," "you") submitting payment.
This Agreement governs all services delivered under the ServiceBooked platform and any related digital marketing, automation, or software services provided by Alkali Solutions.
Alkali Solutions provides done-for-you digital infrastructure for home service businesses, which may include any combination of the following depending on the package purchased:
The specific deliverables and scope for your engagement are outlined in the proposal, sales page, or written communication provided prior to this payment. In the event of any conflict, those specific documents take precedence for deliverables.
Payment is processed securely at the time of checkout. By completing payment, you authorize the charge to the payment method provided.
If a payment fails, we reserve the right to suspend access to services and deliverables until payment is successfully collected.
Monthly subscriptions may be cancelled with written notice to contact@alkalisolutions.ca at least 7 days before your next billing date. Cancellation takes effect at the end of the then-current billing cycle. No prorated refunds are issued for partial periods.
Exceptions: If Alkali Solutions fails to deliver the agreed core deliverables within the timeframe specified in your proposal (or within 30 days if no timeframe is stated), you may request a credit or partial refund at our sole discretion. Requests must be submitted in writing within 14 days of the missed deadline.
Timely delivery of services depends on your participation. You agree to:
Project timelines are contingent on your responsiveness. Delays caused by Client inaction do not entitle the Client to a refund or service credit.
Upon receipt of full payment, Alkali Solutions grants the Client a non-exclusive licence to use the website, automations, and configurations built specifically for them, solely for the Client's business purposes.
Alkali Solutions retains ownership of all underlying templates, frameworks, proprietary workflows, system prompts, and platform infrastructure used to build and operate the ServiceBooked system. The Client does not acquire rights to these foundational assets.
Any content, logos, and materials provided by the Client remain the intellectual property of the Client.
Some services provided by Alkali Solutions incorporate artificial intelligence tools, including but not limited to AI-powered receptionist features, automated response generation, and workflow automation. You acknowledge and agree that:
Alkali Solutions collects and handles personal information in accordance with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA). Information collected through this payment and your engagement with us is used solely for service delivery, billing, and communication purposes.
We do not sell your personal information to third parties. Data may be processed by third-party platforms integral to service delivery (e.g., payment processors, CRM platforms, hosting providers), each subject to their own privacy policies.
To request access to, correction of, or deletion of your personal data, contact us at contact@alkalisolutions.ca.
By purchasing services, you provide express consent to receive transactional and service-related communications from Alkali Solutions via email, SMS, and other electronic means necessary for delivering your services.
Where we send commercial electronic messages for marketing purposes, we comply with Canada's Anti-Spam Legislation (CASL). You may withdraw consent to marketing communications at any time by contacting us or using the unsubscribe mechanism in any message. Withdrawal of marketing consent does not affect transactional communications required to operate your account.
To the maximum extent permitted by applicable law, Alkali Solutions' total liability for any claim arising out of or related to these services shall not exceed the total fees paid by the Client in the 3 months preceding the claim.

Each party agrees to treat as confidential any non-public information disclosed by the other party in connection with services. Neither party will disclose the other's confidential information to third parties without prior written consent, except as required by law. This obligation survives termination of the engagement.
This Agreement is governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.
In the event of a dispute, the parties agree to first attempt resolution in good faith through direct communication. If a resolution cannot be reached within 30 days, disputes shall be submitted to binding arbitration or the courts of Ottawa, Ontario, as applicable.
Alkali Solutions reserves the right to update these Terms & Conditions at any time. The version in effect at the time of your payment governs that transaction. Material changes to ongoing subscription agreements will be communicated with at least 14 days' notice via email.
